Professional Career

John Gooley came to the Bar in 1996 after being admitted as a Solicitor in 1982. Since 1997 he has practised as a Barrister on a full-time basis from Blackstone Chambers.

In the period 2013 to 2014, Mr Gooley was briefed to advise and appear on behalf of the Truth, Justice and Healing Council in the Royal Commission into Institutional Responses to Child Sexual Abuse.

Prior to his admission as a Barrister, Mr Gooley was a Senior Lecturer in Law at the University of Western Sydney, Macarthur, as well as the sometime Head of Research and Head of Postgraduate studies within that University’s Faculty of Law. He was a fulltime member of the University’s teaching and research staff in the period 1989 to 1996 and was actively involved in the establishment and accreditation of that University’s Law program by being a member of the University of Western Sydney, Macarthur's Law Advisory Committee.

Mr Gooley was also the University’s representative on the Legal Qualifications Committee of the Supreme Court of New South Wales and a member of the University of Western Sydney, Macarthur's, Research Board.

While in the Faculty of Law, Mr Gooley lectured in Law of Associations, Commercial Law, Contract Law, International Trade Law, as well as Financial Institutions Law.

In the period 1989 to 2012 Mr Gooley was also the course coordinator, lecturer and Court-appointed Examiner in Law of Associations within the Legal Practitioners Admission Board’s Law Program. Mr Gooley also was the course coordinator, lecturer and Court-appointed Examiner in Insolvency Law within that same program for several years within that period.

In 2015 Mr Gooley was asked to provide several lectures in Insolvency Law in the Legal Practitioners Admission Board’s Law Program.

During Mr Gooley’s career as a University Academic he was involved in numerous research projects which attracted research funding. In consequence of this research work and publication output, he was awarded the University of Western Sydney Research Career Medal.

MEDIATION AND ADVISORY WORK

Mr Gooley has a considerable practice in giving advice in specialist fields of law. In his career at the Bar he has been involved in advising:

• In relation to class-actions in the Federal Court and Supreme Courts;

• Senior Officers of insurance companies on issues of indemnity and reinsurance;

• Insurers in relation to life insurance issues, such as the application of policy exclusions to fact situations;

• Company directors and officers of listed and non-listed corporations and their insurers as well as officers of both incorporated and unincorporated associations in relation to liability for breaches of duty including insolvent trading and in relation to criminal liability and civil penalty breaches;

• Company Managers and shareholders in relation to shareholder disputes including derivative actions and oppression actions under the Corporations Act, as well as meeting procedures and disputes arising out of the management of companies;

• Company directors in relation to legal strategies when involved in take-over, merger and reconstruction activity;

• Liquidators, receiver-managers and other administrator in relation to their responsibility and management of companies;

• Bank Officers, including senior legal staff and directors of matters impacting upon Bank’s liability;

• In relation to partnership disputes and disputes between joint ventures;

• Both franchisees and franchisors in relation to the operation of franchises;

• Trustees and beneficiaries of trusts.

In addition, Mr Gooley was briefed to advise an insurance company in a significant barrister’s negligence action that was heard in the Privy Council. That matter was Harley v McDonald [2001] UKPC 18.

 

Publications and Presentations

As can be seen from the list below, Mr Gooley has authored and/or co-authored a number of legal works.

Since 2006, Mr Gooley has co-authored two new substantive works on Contract Law, published by LexisNexis Butterworths. Those works are titled, Principles of Australian Contract Law, and Principles of Australian Contract Law – Cases and Materials. Since that time each of those works have been republished as new and substantially revised editions on two subsequent occasions, with an upcoming fourth edition in both works anticipated to be published in mid 2017.

In addition, in that same period, Mr Gooley has co-authored a detailed work on Corporations and Associations Law (a book that had been previously authored by him alone). A new and expanded edition of this work was published by LexisNexis Butterworths in 2015.

In addition, Mr Gooley has recently completed a further specialised work on Insolvent Trading and Fraudulent Trading in Australia for LexisNexis Butterworths.  This work was published in late 2016.

SIGNIFICANT PRESENTATIONS

Mr Gooley has given numerous presentations, including the following:

  • In 2012 Mr Gooley was an invited participant in a Commonwealth Government Contract Law Forum at the request of the Commonwealth Attorney-General. The Forum formed part of the Australian Government's consultation on Australian Contract Law;
  • In September 2010, Mr Gooley presented a sessional paper on Company Insolvency at the Annual Conference for Consumer Trader and Tenancy Tribunal Members
  • In May 2003, Mr Gooley presented a sessional paper at the Australian Insurance Law Association Annual Conference in relation Professional Indemnity and Public Liability insurance; 
  • In the period 1993-1996, Mr Gooley was convener of the Corporate Law Interest Group of the Australasian Corporate Law Teachers’ Association and was a presenter of numerous corporate law related papers in both Australia and overseas.

 
INVOLVEMENT IN LAW REFORM

  •  In May 1992, Mr Gooley made detailed submissions in relation to the Corporate Law Reform Bill 1992. Those submissions were acknowledged in writing by the Companies and Accounting Branch, Business Affairs Division of the Commonwealth Attorney-General’s Department.
  •  In August 1992, Mr Gooley made a lengthy submission to the Commonwealth Parliamentary Committee on Corporations and Securities with respect to the Close Corporations Act.  As a result of this submission, Mr Gooley was requested to attend and give evidence at a Joint Statutory Committee on Corporations and Securities on 9 October 1992.  The relevant committee members were Senator Beahan (Chairman), Senator Campbell, Senator Spindler and Mr. Kerr. The transcripts of Mr Gooley’s evidence can be found in the Official Hansard Report for the Joint Statutory Committee on Friday, 9 October 1992.
  •  In 2000 Mr Gooley assisted with the drafting of amendments to the Home Building Act 1999 (NSW).  Those amendments related to the developer exclusion under the Act.
  •  In December 1986 Mr Gooley made detailed submissions in relation to an enquiry pursuant to section 57 of the Public Finance and Audit Act, 1983 (NSW) concerning the New South Wales Builders Licensing Board.  Those submissions are recorded in the 29th report of the Public Accounts Committee of the Forty-eighth Parliament of New South Wales.
